What each entity type costs to register

Every structure has a different government fee, professional charge and compliance burden. Here is a quick reference — select one above to see your exact all-in cost, including DSC, DIN and any add-on registrations.

👤 Sole Proprietorship
₹2,999 + govt
Simplest and cheapest. No separate legal entity, no ROC compliance — best for solo traders.
🤝 Partnership Firm
₹3,999 + govt
Deed-based, 2–20 partners. Low compliance, but partners carry unlimited liability.
⚖️ LLP
₹6,999 + govt
Limited liability, no minimum capital, lighter ROC compliance than a company. Ideal for professionals.
🏢 Private Limited
₹8,999 + govt
Investor-ready, separate legal entity, limited liability. Most credible for B2B and fundraising.
🎯 One Person Company
₹7,999 + govt
Sole ownership with limited liability. Nominee director required; convertible to Pvt Ltd as you scale.
❤️ Section 8 (NGO)
₹11,999 + govt
Non-profit with 80G/12A donor tax benefits. Surplus must go to stated objectives; longer timeline.

What's included in your registration

The total you see above is a complete, all-in setup cost — not just the government fee. Here is what goes into it.

Government filing fee

The MCA / RoC and stamp duty paid to the government. For companies and LLPs this scales with your authorised capital and varies by state stamp-duty rates.

Professional fee

TaxClue's end-to-end charge — name approval, drafting, filing and follow-up until your certificate is issued. Fixed per entity type.

DSC & DIN

A Digital Signature Certificate (₹1,500/director) is needed to sign filings; companies also need a Director Identification Number (₹500/director).

Add-on registrations

Optional extras like GST, MSME, Trademark, FSSAI, IEC and DPIIT — each with its own flat fee and timeline, added on top of the base registration.

How the timeline works

Most registrations follow the same four broad stages. Expected duration depends on the entity type and how quickly documents and approvals come through.

1
DSC & DIN
Digital signatures and director IDs are issued for each promoter — usually 1–2 days.
2
Name approval
Reserve your business name with the MCA / RoC (RUN or SPICe+ Part A).
3
Filing & docs
Draft and file incorporation forms, MOA/AOA or deed, and pay government fees.
4
Certificate
Certificate of Incorporation, PAN & TAN are issued — then add-ons like GST are filed.
