Form 17 explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
A partnership firm becomes an LLP by an application in Form 17, filed under rule 38 of the Limited Liability Partnership Rules, 2009 for the Second Schedule to the LLP Act, 2008. Section 55 of the Act allows the conversion; the Schedule says who is eligible and what the conversion does. If you are planning to convert and want the application, the incorporation papers and the follow-up intimations handled together, our LLP registration team can manage it.
Rule 38(1) says the application is made "in the format provided in Part A of Form 17 together with the statement of partners in format provided in Part B of Form 17", with the fee in Annexure A. On conversion the Registrar issues a certificate of registration in Form 19 (rule 38(2)). The LLP then informs the Registrar of Firms in Form 14 (rule 38(3); rule 33 prints fifteen days from the date of registration). Rules 32, 33 and 38 to 40 come into force on a date to be notified (rule 1(2)(b)), and that notification is not in the source used for this page, so confirm on the MCA portal that the conversion route and forms are open. Forms, fees and time limits have been amended since 2009.
What the Act and the Schedule say
Section 55 says a firm may convert into an LLP in accordance with Chapter X of the Act and the Second Schedule. The Schedule, in the 2008 text, provides:
| Paragraph | What it provides |
|---|---|
| Para 3 | Eligibility: only if the partners of the LLP "comprise all the partners of the firm and no one else" |
| Para 4 | The firm applies by filing with the Registrar (a) a statement by all its partners, in the form, manner and fee the Central Government prescribes, giving the name and registration number (if applicable) of the firm and the date on which it was registered under the Indian Partnership Act, 1932 or any other law, if applicable, and (b) the incorporation document and statement referred to in section 11 |
| Para 5 | The Registrar registers and issues a certificate of registration; the LLP must, within fifteen days of registration, inform the Registrar of Firms with which the firm was registered |
| Para 7 | From the date in the certificate the firm's property, rights, liabilities and undertaking vest in the LLP, and the firm is deemed dissolved |
| Para 16 | Every partner stays personally liable, jointly and severally with the LLP, for the firm's liabilities incurred before conversion |
| Para 17 | For twelve months, starting not later than fourteen days after registration, official correspondence states that the LLP was converted from a firm |

Commencement: a date not in the source
Rule 1(2)(b) says rules 32 and 33 and rules 38 to 40 "shall come into force on such date as the Central Government may, by notification in the Official Gazette, appoint". The notification is not in the source used here, so this page cannot say from what date these rules took effect or whether later amendments replaced them. Check the current procedure on the MCA portal.
Step by step
- Confirm eligibility. The LLP's partners must be all the firm's partners and no one else (para 3).
- Prepare the incorporation document and statement referred to in section 11 (para 4(b)). For registration steps, see LLP registration process.
- Prepare the statement of all partners (para 4(a)).
- File Form 17 (Part A application; Part B statement of partners) with the fee (rule 38(1)).
- Registrar's decision. Registration brings a certificate in Form 19 (rule 38(2); rule 32(1)). A refusal can go to the Tribunal within sixty days of the intimation (rule 32(2)).
- Inform the Registrar of Firms in Form 14 within fifteen days of registration (rule 33).
- Afterwards, carry the conversion statement on official correspondence for twelve months (para 17).
Example. Rathi & Co. has three partners, Rathi, Khan and Dsouza, so the LLP must have exactly these three (para 3). If registration is on 14 March, Form 14 is due within fifteen days, by 29 March (rule 33).
Pending proceedings and existing agreements carry on (paras 9, 11, 12). For tax consequences see our income-tax guides. A wider walkthrough is in conversion of a partnership firm to an LLP.
Common mistakes
- Planning to add a partner or drop one at the time of conversion. Para 3 requires the same partners and no one else.
- Forgetting the Form 14 intimation to the Registrar of Firms.
- Assuming partners are released from the firm's old liabilities after conversion (para 16).
- Not carrying the conversion statement on official correspondence for twelve months (para 17).
