Rule 16 lists what must be filed with the Registrar about every subscriber to the memorandum: personal particulars, identity and address proof, existing directorships and, for a body corporate, its own details and its board or partners' resolution. Rule 17 deals with the first directors named in the articles: their particulars, interests and consent to act, filed in Form DIR.12.

This article is as amended up to G.S.R. 579(E) dated 26 August 2025 (rule text per the MCA e-book to G.S.R. 411(E) of 16 July 2024; later notifications substitute forms only). Later amendments should be checked. To form a private company, see our private limited company registration service.

Rule 16(1): particulars of an individual subscriber

ClauseParticular
(a)Name (including surname or family name) and recent photograph affixed and scanned with the MOA and AOA
(b)Father's or mother's name
(c)Nationality
(d)Date of birth
(e)Place of birth (district and State)
(f)Educational qualification
(g)Occupation
(h)Income-tax permanent account number
(i)Permanent residential address and present address (time since residing at the present address and the previous address(es) if the stay at the present address is less than one year), and similarly the office or business addresses
(j)E-mail ID of the subscriber
(k)Phone number of the subscriber
(l)Fax number of the subscriber (optional)
(m)Proof of identity: for Indian nationals, PAN card (mandatory) and any one of voter's identity card, passport copy, driving licence copy or Unique Identification Number; for foreign nationals and Non Resident Indians, passport
(n)Residential proof such as bank statement, electricity bill, telephone or mobile bill, not more than two months old
(o)Proof of nationality if the subscriber is a foreign national
(p)If the subscriber is already a director or promoter of a company, the company's name, CIN, and whether interested as director or promoter
(q)Omitted by the notification of 27 July 2016

The Explanation after clause (l) says the information in clauses (i) to (l) must be of the individual subscriber and not of the professional engaged in the incorporation. A second Explanation (inserted 27 July 2016) says that if the subscriber already holds a valid DIN, the particulars in it are updated as on the date of application and a declaration to that effect is given, the proof of identity and residence need not be attached.

Rule 38(6) states that, for incorporation through SPICe+, rule 16(1)(a) does not apply to the extent of affixing the recent photograph; see our article on rules 12 and 38. Read the two rules together when preparing the form.

Example: Tanvi Shah, an Indian national, subscribes to a new company. She provides her PAN card (mandatory) and, say, a passport copy as the one further identity document; a mobile bill dated within two months as residence proof; her permanent and present addresses; and, because she is already a director of an existing company, that company's name and CIN with the capacity in which she is interested. If she holds a valid DIN with updated particulars and gives the declaration, the identity and residence proofs need not be attached.

Rule 16(2): where the subscriber is a body corporate

ClauseParticular
(a)CIN or registration number of the body corporate, if any
(b)GLN, if any
(c)Name of the body corporate
(d)Registered office address or principal place of business
(e)E-mail ID
(f)If a company: certified true copy of the board resolution specifying the authorisation to subscribe to the memorandum and to invest in the proposed company, the number of shares to be subscribed, and the name, address and designation of the person authorised to subscribe
(g)If a limited liability partnership: certified true copy of the resolution agreed to by all the partners specifying the same, and the name of the partner authorised to subscribe (the words "or partnership firm" were omitted in 2016)
(h)The particulars specified for subscribers, in terms of clause (e) of sub-section (1) of section 7, for the person subscribing for the body corporate
(i)For foreign bodies corporate: copy of the certificate of incorporation and the registered office address

Rule 13(4) requires the person signing for a body corporate or LLP to be authorised and not to be a subscriber; see our article on rules 13 to 15.

Rule 17: the first directors

The particulars of each person named in the articles as first director, and his interest in other firms or bodies corporate, along with his consent to act as director, shall be filed in Form No. DIR.12 along with the fee as provided in the Companies (Registration offices and fees) Rules, 2014. The rule prints no amount; see our Rule 12 fee article for the table. The rule does not walk through the particulars; it fixes the form, the content in outline (particulars, interests in other firms or bodies corporate, consent to act) and the fee reference.

A pre-filing checklist

  1. Collect PAN and one more identity document for each Indian individual subscriber, and a passport for each foreign or NRI subscriber.
  2. Check the date on every bank statement and utility or mobile bill: not more than two months old.
  3. For each corporate subscriber, get a certified copy of the board resolution (or the all-partners resolution for an LLP) with the number of shares, and the authorised person's name, address and designation.
  4. Ask every subscriber who is already a director or promoter for the company names and CINs.
  5. Prepare DIR.12 particulars and consent for each first director.
