What a Producer Company needs
A Producer Company is a hybrid entity under Part IXA of the Companies Act, 1956 (continued under the Companies Act, 2013) — it gives farmers and primary producers the limited-liability structure of a company while operating like a co-operative. It has strict statutory minimums that set the floor for its cost.

Worked example
A group of 10 farmers registering a Producer Company at ₹5,00,000 authorised capital, with 5 directors:
Key terms explained
Part IXA company
Producer Companies are governed by the special provisions of Part IXA of the Companies Act, 1956, kept alive under the 2013 Act. They combine a company's limited liability with a co-operative's member-owned ethos, restricted to producers of primary produce.
10 producers / 2 institutions
Incorporation needs at least 10 individual primary producers as members, or 2 or more producer institutions, or a combination. There is no upper limit on members.
₹5 lakh capital
A Producer Company must be incorporated with a minimum authorised share capital of ₹5,00,000. This is higher than a Pvt Ltd and drives a slightly higher MCA fee and stamp duty.
5 directors & DSC
The board needs a minimum of 5 directors (up to 15). Each director signs SPICe+ filings with a Digital Signature Certificate (₹1,500 each); the DIN itself is allotted free within SPICe+.
Questions people ask
Short answers on Producer Company Registration Cost. Tap a question to open it.
01What is a producer company?
A company formed by primary producers — farmers, artisans, weavers or their institutions — to carry on production, harvesting, procurement, pooling, marketing or export of their produce. It is governed by Chapter XXIA of the Companies Act, 2013.
02What are the minimum requirements?
At least ten individual producers, or two producer institutions, or a combination of both, and a minimum of five directors. The name must end with "Producer Company Limited".
03How is it different from a cooperative society?
It is registered with the Registrar of Companies rather than under a state cooperative law, so it has a single national framework, professional governance, and it can operate across states without separate registrations — while retaining the member-ownership character of a cooperative.
04What does registration cost?
The MCA filing fee based on authorised capital, state stamp duty on the MOA and AOA, and DSCs for five or more directors. It costs more than a private limited company mainly because of the larger number of directors and members. Professional fees are not included in this calculator.
05Can a producer company distribute profits?
It distributes surplus as limited return on share capital and as patronage bonus in proportion to the produce each member supplies, rather than as an open dividend on shareholding.
