Proforma vs tax invoice
A proforma invoice is a preliminary, quotation-like document sent before a sale is confirmed. A tax invoice is the legal GST document issued after the supply. The proforma states an intent to sell; the tax invoice records the actual sale, triggers GST liability and follows the format prescribed under the GST rules.
No input tax credit (ITC)
A proforma invoice cannot be used to claim ITC. Only a valid tax invoice (with GSTIN, invoice number, HSN/SAC, and the correct CGST/SGST or IGST split) lets the buyer take input tax credit. The GST shown on a proforma is only an estimate of what the final tax invoice will carry.
When it is used
Proforma invoices are common for advance-payment requests, export & customs clearance, and visa or funding applications where the buyer needs a formal price commitment. They help the buyer arrange payment, a letter of credit or import documentation before the goods or services are delivered.
Converting to a tax invoice

01What is a proforma invoice?
A preliminary bill sent before the supply, setting out what will be supplied and at what price. It is used to seek an advance, to open a letter of credit, for customs pre-clearance, and as supporting documentation for a visa or a loan.
02Is a proforma invoice a legal tax invoice?
No. It does not create a tax liability, is not reported in GSTR-1, and does not entitle the recipient to input tax credit. A tax invoice must be issued separately when the supply is actually made.
03What should a proforma invoice contain?
Supplier and buyer details, a proforma number and date, description and quantity of goods or services, unit price and total, applicable taxes shown as indicative, delivery and payment terms, validity of the quotation, and bank details for the advance.
04How is it different from a quotation?
A quotation is an offer to supply at a price; a proforma invoice assumes the buyer has agreed and formats the same information as a bill. In practice many businesses use them interchangeably, but a proforma is the document buyers pass to their bank or customs.
05Is GST payable when a proforma invoice is issued?
Not on issuing it. For services, GST becomes payable if an advance is received against it, and a receipt voucher must then be issued. For goods, GST is payable only on the tax invoice.
