Sections 45E to 45H explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
Sections 45E to 45H, all inserted in 2023, are the housekeeping rules of the Co-operative Election Authority: how a vacancy is filled, what its office-bearers may not do after they leave, why a defect in its constitution does not undo its acts, and how it meets and votes. This article states them as per the Ministry of Cooperation copy of the Act read with the Multi-State Co-operative Societies (Amendment) Act, 2023.
A casual vacancy in the office of Chairperson, Vice-Chairperson or Member is to be filled within ninety days by a fresh appointment, for the remainder of the term (s.45E). After leaving, the office-bearers cannot accept employment in any co-operative society for two years (s.45F). A vacancy, a defect in constitution or appointment, or a procedural irregularity that does not affect the merits does not invalidate the Authority's acts (s.45G). Questions are decided by a majority of members present and voting, and the presiding member has a second or casting vote if votes are equal (s.45H).
Context
The 2023 Amendment Act (Act 11 of 2023) came into force on 3 August 2023 by notification S.O. 3493(E). It substituted section 45 and inserted sections 45A to 45L. The Authority itself is explained in our note on the Co-operative Election Authority under section 45. None of sections 45E to 45H existed in the principal copy. The sources say nothing about whether, or when, the Authority was established. If you are advising a society on how its election timetable interacts with the Authority, our legal consultation team can help.
Section 45E: filling a casual vacancy
"If a casual vacancy occurs in the office of the Chairperson, Vice-Chairperson or Member of the Authority, whether by reason of his death, resignation or otherwise, such vacancy shall be filled within a period of ninety days by making a fresh appointment in accordance with the provisions of section 45 and the person so appointed shall hold office for the remainder of the term of office for which the Chairperson, Vice-Chairperson or Member of the Authority, as the case may be, in whose place he is so appointed."
Key points:
- the cause of the vacancy does not matter: death, resignation "or otherwise";
- the time limit is ninety days, and the method is a fresh appointment under section 45, so the Selection Committee route and the qualification tests apply again;
- the new appointee serves only the remainder of the predecessor's term, not a fresh three years.
The closing words ("for which the Chairperson, Vice-Chairperson or Member of the Authority, as the case may be, in whose place he is so appointed") are drafted loosely, with no word such as "held" before the predecessor is named. We quote the text as printed and add nothing.
Section 45F: restriction on re-employment
"The Chairperson, Vice-Chairperson and Member of the Authority, on ceasing to hold office shall not, for a period of two years, accept any employment (including as consultant or otherwise) in any co-operative society."
The bar is wide in two ways: it covers "any co-operative society", not only multi-State societies, and it covers employment "including as consultant or otherwise". The period is two years from ceasing to hold office.
The proviso excepts "any employment under the Central Government or in any State Government or any Corporation established by or under any Central or State Act or a Government Company as defined under clause (45) of section 2 of the Companies Act, 2013." The Act is printed as "18 of 2013". Check the current law for the corresponding provision of the Companies Act, 2013.
This rule sits alongside the yearly declaration of interest in section 45C; see our note on powers of the Chairperson, removal, disclosure and resignation.
Section 45G: vacancies and defects do not invalidate proceedings
"No act or proceeding of the Authority shall be invalid merely by reason of" three things:
| Clause | What does not invalidate |
|---|---|
| (a) | any vacancy in, or any defect in the constitution of the Authority |
| (b) | any defect in the appointment of a person as Chairperson or Member of the Authority |
| (c) | any irregularity in the procedure of the Authority not affecting the merits of the case |
Clause (b) names the Chairperson or Member only and does not mention the Vice-Chairperson. We quote it as printed. The protection is against invalidity "merely by reason of" these defects; it does not stop other grounds of challenge from being raised, and clause (c) protects only an irregularity that does not affect the merits.
Section 45H: meetings of the Authority
Sub-section (1): place, time, procedure and quorum
"The Authority shall meet at such places and times and shall observe such rules of procedure in regard to the transaction of business at its meetings (including the quorum at its meetings), as may be prescribed." The places, times, procedure and quorum are all left to rules; none is given here. Amendment rules were notified on 4 August 2023 (G.S.R. 591(E)); the consolidated Rules should be checked.
Sub-section (2): who presides
The Chairperson presides. "If for any reason the Chairperson of the Authority is unable to attend a meeting of the Authority, the Vice-Chairperson of the Authority shall preside at the meeting." The Act names no one to preside if both are absent.
Sub-section (3): voting and casting vote
"All questions which come up before any meeting of the Authority shall be decided by a majority of votes of the members present and voting and, in the event of an equality of votes, the Chairperson or the Vice-Chairperson of the Authority presiding shall have the right to exercise a second or casting vote."
Sub-section (4): one vote each
"Save as otherwise provided in sub-section (1), every Member shall have one vote." The words "save as otherwise provided in sub-section (1)" point to rules, but sub-section (1) deals with places, times and procedure, not votes; we flag the cross-reference and do not reconcile it.
A practical example
The Authority has a Chairperson, a Vice-Chairperson and three Members, and a Member dies in March. Under section 45E the vacancy must be filled within ninety days by a fresh appointment under section 45. His successor serves only until the original term of the deceased Member would have ended. At the next meeting the Chairperson is absent, so the Vice-Chairperson presides. Two Members vote for a decision, two against; the Vice-Chairperson may exercise a casting vote. The meeting's decision stands even if it later turns out that the vacant seat was not yet filled, as section 45G(a) covers "any vacancy in" the Authority.
What the 2023 Amendment Act changed
| Provision | Before | After |
|---|---|---|
| Ss.45E to 45H | No such provisions in the principal copy | Inserted: ninety-day vacancy rule, two-year re-employment bar, protection of proceedings, meetings and casting vote |
